1. Acceptance of Terms

These Terms govern your use of this website and all services offered by MEXTROSOFT Software Solutions. By using the site, you confirm you are at least 18 years old and have the legal capacity to enter into binding agreements.

2. Services

MEXTROSOFT Software Solutions provides custom software development, web and mobile development, UI/UX design, AI solutions, SaaS development, cloud solutions, and related technology services. Specific scope, deliverables, timeline, and pricing for any engagement are defined in a separate Statement of Work (SOW).

3. Intellectual Property

• Site Content: All content on this site is the property of MEXTROSOFT Software Solutions and protected by applicable intellectual property laws. You may not reproduce or distribute it without written consent.
• Client Deliverables: Upon full payment per the SOW, IP rights to custom-developed deliverables transfer to the client. Pre-existing tools and frameworks remain licensed (not sold) to the client.
• Open Source: Third-party open-source components remain subject to their respective licenses, disclosed in project documentation.

4. Confidentiality

All client information and project details are treated as strictly confidential. NDAs are available upon request before any project discussion.

5. Payment Terms

Unless otherwise agreed in the SOW: a deposit (30–50%) is required before commencement; milestone payments are due upon acceptance of milestones; final payment is due before production deployment. Late payments accrue interest at 1.5% per month. Fees are non-refundable once work has commenced.

6. Warranties and Disclaimers

Services will be performed in a professional manner consistent with industry standards. THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEXTROSOFT SOFTWARE SOLUTIONS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE THREE MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify and hold harmless MEXTROSOFT Software Solutions and its officers, directors, and employees from claims arising from your use of the site, violation of these Terms, or violation of third-party rights.

9. Prohibited Conduct

You agree not to use the site for unlawful purposes, attempt unauthorized access to our systems, transmit malware, scrape content without permission, impersonate MEXTROSOFT Software Solutions, or submit false information.

10. Governing Law

These Terms are governed by the laws of the State of California, USA. Disputes shall be subject to the exclusive jurisdiction of courts in San Francisco County, California.

11. Changes to Terms

We may modify these Terms at any time. Continued use of the site after changes constitutes acceptance.
